These Website Terms of Use (“Terms”) govern your access to and use of alaskaboatbrokers.com and the websites, pages, features, tools, forms, content, and services operated by Alaska Boat Brokers, Inc. (“ABB,” “Alaska Boat Brokers,” “we,” “us,” or “our”) (collectively, the “Site”).

By accessing or using the Site, you agree to these Terms.

1. Website Use

You may use the Site only for lawful purposes and in accordance with these Terms.

You agree not to:

• Use the Site for fraudulent, unlawful, misleading, or abusive purposes

• Submit false or misleading information

• Impersonate another person or entity

• Attempt to gain unauthorized access to the Site, systems, accounts, or data

• Interfere with the operation, security, or performance of the Site

• Introduce malware, viruses, malicious code, or harmful technologies

• Scrape, harvest, copy, or systematically extract Site content or data without ABB’s written permission

• Use the Site in a manner that infringes the rights of ABB or any third party

ABB may restrict, suspend, or terminate access to the Site when we reasonably believe these Terms have been violated.

2. Brokerage Services

Certain vessels displayed on the Site may be represented for sale by ABB in its capacity as a boat broker.

The terms governing a brokerage relationship may be contained in separate brokerage agreements, listing agreements, purchase agreements, or other transaction-specific documents.

Nothing in these Website Terms creates a brokerage, agency, fiduciary, or representative relationship between ABB and a website visitor.

3. Private Seller Marketplace

The Site may include a Private Seller Marketplace where private sellers advertise vessels, trailers, or other marine-related items directly to prospective buyers.

Private Seller Marketplace listings are advertising listings only.

Unless expressly stated otherwise, ABB is not acting as broker, agent, dealer, representative, escrow provider, attorney, surveyor, lender, insurer, or advisor for either party in connection with a Private Seller Marketplace transaction.

Private Seller Marketplace sellers are subject to ABB’s Private Seller Marketplace Listing Agreement and Disclaimer.

Buyers who interact with Private Seller Marketplace listings may be subject to ABB’s Private Seller Marketplace Buyer Disclosure and Acknowledgment.

If there is any conflict between these Website Terms and an applicable marketplace-specific agreement or disclosure, the marketplace-specific agreement or disclosure will control with respect to that marketplace activity.

4. User-Submitted Content

Users may submit listings, descriptions, photographs, videos, messages, inquiries, or other content through the Site.

By submitting content, you represent that:

• You own the content or have permission to use it

• The content is accurate and not misleading

• The content does not violate any law

• The content does not infringe the intellectual property, privacy, publicity, or other rights of any third party

You grant ABB a non-exclusive, royalty-free license to use, reproduce, display, format, distribute, and promote submitted content in connection with operating and marketing the Site and ABB’s services.

ABB may edit content for formatting, reject content, or remove content that ABB believes violates these Terms, other ABB policies, applicable law, or marketplace standards.

5. Listing Information and Third-Party Content

Information regarding vessels, trailers, equipment, sellers, or other items may be supplied by sellers, brokers, manufacturers, third-party data sources, or other users.

ABB does not guarantee that all information displayed on the Site is accurate, complete, current, or error-free.

Users should independently verify information material to any purchasing, selling, financing, inspection, transportation, or transaction decision.

6. No Guarantee of Transactions or Results

ABB does not guarantee:

• That any vessel or item will remain available

• That a listing will result in inquiries, offers, or a sale

• The identity, honesty, financial capacity, or intent of any website user

• Completion of any transaction

• Any particular transaction price

• The condition, seaworthiness, legality, value, or suitability of any vessel or item

• The performance of any buyer, seller, service provider, or other third party

7. Payments

Certain services offered through the Site may require payment.

Payments may be processed through third-party payment processors.

Fees, renewal terms, refund policies, and cancellation rights applicable to a particular service will be disclosed in connection with that service and may also be governed by a separate agreement.

Private Seller Marketplace listing fees, automatic renewals, cancellations, and refunds are governed by the applicable Private Seller Marketplace Listing Agreement and Disclaimer.

8. Third-Party Services and Links

The Site may contain links or references to third-party websites or services, including financing providers, insurers, transportation services, surveyors, payment providers, manufacturers, social media platforms, or other resources.

ABB does not control and is not responsible for third-party websites, products, services, content, privacy practices, security, or conduct.

Your dealings with third parties are solely between you and those third parties.

9. Intellectual Property

Unless otherwise stated, the Site and its original content, design, graphics, logos, photographs, text, software, and other materials are owned by or licensed to ABB and are protected by applicable intellectual-property laws.

You may not copy, reproduce, distribute, modify, publish, commercially exploit, or create derivative works from ABB-owned Site content without prior written permission.

Nothing in these Terms transfers any ownership interest in ABB intellectual property to a user.

10. Disclaimer of Warranties

To the fullest extent permitted by law, the Site and its content, features, listings, and services are provided on an “as is” and “as available” basis.

ABB makes no warranty or representation that the Site will be uninterrupted, error-free, secure, accurate, complete, or free from harmful components.

ABB disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement, to the fullest extent permitted by law.

11. Limitation of Liability

To the fullest extent permitted by law, ABB and its owners, officers, directors, employees, contractors, agents, successors, and assigns shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to:

• Use or inability to use the Site

• Reliance on Site content

• Any listing

• Communications between users

• Conduct of buyers, sellers, or third parties

• Loss of data

• Fraud or misrepresentation by third parties

• Any transaction arising from use of the Site

Marketplace-specific limitations of liability may be contained in separate agreements and disclosures and will control where applicable.

12. Indemnification

You agree to indemnify and hold harmless ABB and its owners, officers, directors, employees, contractors, agents, successors, and assigns from third-party claims, damages, losses, liabilities, costs, and reasonable attorneys’ fees arising out of or relating to:

• Your misuse of the Site

• Your violation of these Terms

• Content you submit

• Your violation of law

• Your infringement of any third-party right

Additional indemnification or defense obligations may apply under separate marketplace, brokerage, or transaction-specific agreements.

13. Privacy

Your use of the Site is also subject to ABB’s Privacy Policy.

14. Electronic Communications and Consent

By submitting forms, creating an account, purchasing services, or otherwise communicating electronically with ABB, you consent to receive electronic communications reasonably related to your interaction with ABB.

Where required, separate consent may be requested before ABB sends marketing text messages or other marketing communications.

Consent to receive marketing text messages is not a condition of purchasing services unless otherwise expressly permitted by law.

Message and data rates may apply.

You may opt out of marketing text messages by following the instructions provided in the applicable message.

15. Suspension or Termination

ABB may suspend, restrict, or terminate access to all or part of the Site when ABB reasonably believes:

• A user has violated these Terms

• Fraud or unlawful conduct may be occurring

• Continued access may create risk to ABB, another user, or a third party

• Suspension is necessary to protect the security or operation of the Site

16. Changes to These Terms

ABB may revise these Website Terms from time to time.

Changes will be posted on the Site with an updated effective date.

Marketplace listings or transactions governed by separate agreements will remain subject to the modification provisions contained in those agreements.

17. Governing Law; Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Alaska, without regard to conflict-of-law principles.

Any dispute, claim, or proceeding arising out of or relating to these Terms or use of the Site shall be brought exclusively in the applicable state or federal courts located in Alaska, and you consent to personal jurisdiction and venue in those courts.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect to the fullest extent permitted by law.

19. No Waiver

ABB’s failure to enforce any provision of these Terms does not constitute a waiver of that provision or ABB’s right to enforce it later.

20. Entire Agreement

These Website Terms, together with the Privacy Policy and any additional agreement applicable to a specific service or transaction, constitute the applicable agreement between you and ABB regarding your use of the Site.

Where a specific transaction or marketplace agreement contains terms that conflict with these general Website Terms, the specific agreement controls with respect to that transaction or service.
