Private Seller Marketplace Buyer Disclosure and Acknowledgment

By using the Alaska Boat Brokers, Inc. Private Seller Marketplace as a buyer, and before contacting a seller, requesting information, scheduling a showing or sea trial, sending funds, or participating in a transaction, the buyer acknowledges and agrees to the following terms.

1. Platform Only; No Brokerage or Agency Relationship

Alaska Boat Brokers, Inc. (“ABB”) is providing an advertising and listing platform only for Private Seller Marketplace listings.

For these private seller listings, ABB is not representing the buyer or seller and is not acting as a broker, agent, dealer, representative, escrow provider, attorney, surveyor, lender, insurer, or advisor in connection with any inquiry, negotiation, offer, showing, sea trial, purchase, transfer, financing, delivery, or other transaction.

No brokerage, agency, fiduciary, or representative relationship is created between ABB and any buyer, seller, or other user of the Private Seller Marketplace.

Each Private Seller Marketplace listing is offered directly by the private seller and is not a vessel represented for sale by ABB unless the listing expressly states otherwise.

2. No Inspection, Verification, or Endorsement by ABB

I understand and agree that ABB does not inspect, survey, appraise, test, verify, certify, or endorse any vessel, trailer, related marine item, seller, buyer, or transaction listed through the Private Seller Marketplace.

ABB does not verify seller identity, ownership, authority to sell, title status, lien status, registration or documentation status, condition, seaworthiness, merchantability, safety, legality, value, engine hours, equipment, specifications, or fitness for any particular purpose.

Publication of a private seller listing does not constitute an endorsement, approval, certification, recommendation, valuation, or verification by ABB.

3. Buyer Due Diligence Required

I understand that I am solely responsible for conducting my own independent due diligence before making an offer, sending funds, participating in a showing or sea trial, signing purchase documents, or completing any transaction.

Due diligence may include, without limitation, independently confirming the seller’s identity and authority to sell; inspecting the vessel or item; obtaining a professional marine survey; confirming ownership; reviewing title, registration, and documentation records; checking for liens or encumbrances; verifying hull identification numbers, serial numbers, engine hours, specifications, equipment, and seller representations; reviewing all purchase and transfer documents; and consulting legal, tax, insurance, financing, documentation, or other professionals as appropriate.

ABB strongly recommends that buyers independently verify ownership and title or documentation status before sending any deposit, purchase funds, or other payment to a seller.

4. Sea Trials at Buyer’s Risk

ABB does not arrange, supervise, conduct, monitor, participate in, or assume responsibility for any sea trial.

Any sea trial is conducted solely at the risk of the buyer, seller, and any other participating parties. The buyer is responsible for independently deciding whether, when, and under what circumstances to participate in a sea trial and for taking appropriate precautions for personal safety.

ABB shall have no responsibility or liability for any injury, loss, damage, accident, claim, or dispute arising out of or related to any sea trial.

5. No Verification of Seller Identity, Financial Capacity, or Intent

ABB does not verify the identity, authority, financial condition or capacity, honesty, seriousness, qualifications, or intent of any seller, buyer, or other third party.

ABB does not guarantee that any communication, inquiry, payment request, or transaction is legitimate.

I understand that I am responsible for independently verifying the identity and authority of the seller and taking reasonable precautions against fraud before sending money, disclosing sensitive information, or entering into a transaction.

ABB is not responsible for fraud, misrepresentation, impersonation, non-performance, payment disputes, title defects, hidden damage, undisclosed liens, delivery failures, or other acts or omissions by any seller, buyer, or third party.

6. Communications, Payments, and Transactions Are Direct

All communications, negotiations, arrangements, contracts, payments, deposits, inspections, sea trials, deliveries, and transactions between buyer and seller are solely between those parties.

ABB does not collect or hold purchase funds, provide escrow services, verify proof of funds, negotiate transaction terms, prepare or approve sale documents, guarantee payment or delivery, transfer title, or enforce any agreement between buyer and seller.

Any payment method, deposit arrangement, escrow service, financing arrangement, transportation provider, or closing procedure used by the parties is selected and used at their own risk unless ABB separately agrees in writing to provide a specific service.

7. No Guarantee of Accuracy or Availability

ABB does not guarantee the accuracy, completeness, reliability, legality, or continued availability of any listing, photograph, video, description, price, engine-hour reading, equipment list, specification, representation, or other information provided by a private seller.

Listings may be changed, withdrawn, sold, or removed without notice.

Buyers should independently verify any information that is material to a purchase decision.

8. Compliance With Laws and Transfer Requirements

I understand that I am solely responsible for determining and complying with all applicable federal, state, and local laws and requirements related to the purchase, transfer, titling, registration, documentation, taxes, fees, transport, possession, and operation of any vessel or other item.

Alaska requires boats principally used in Alaska to be registered, and boats longer than 24 feet are required to be titled unless documented by the U.S. Coast Guard.

I am responsible for determining the requirements applicable to the specific vessel or transaction.

9. Limitation of Liability

To the fullest extent permitted by law, ABB shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, opportunity, goodwill, data, funds, use, property, or business, arising out of or related to the Private Seller Marketplace, any listing, any buyer inquiry, any showing, any sea trial, or any resulting transaction, even if advised of the possibility of such damages.

To the fullest extent permitted by law, ABB’s total liability arising out of or relating to the Private Seller Marketplace or any listing shall not exceed the amount, if any, actually paid by me directly to ABB in connection with the specific matter giving rise to the claim.

10. Release and Indemnification

To the fullest extent permitted by law, I agree to release and hold harmless ABB and its owners, officers, directors, employees, contractors, agents, successors, and assigns from claims, damages, losses, liabilities, costs, and expenses arising out of or relating to my dealings with a private seller, my participation in a showing, inspection, or sea trial, or my purchase, possession, transport, transfer, or use of a listed vessel or other item, except to the extent finally determined by a court of competent jurisdiction to have been caused by ABB’s gross negligence, willful misconduct, or fraud.

I further agree to defend, indemnify, and hold harmless ABB and its owners, officers, directors, employees, contractors, agents, successors, and assigns from third-party claims, damages, losses, liabilities, judgments, settlements, costs, and reasonable attorneys’ fees arising out of or relating to my own acts or omissions, my breach of this acknowledgment, my violation of law or a third-party right, or any claim against ABB caused by my conduct in connection with a private seller listing or transaction.

11. Governing Law; Venue

This Buyer Disclosure and Acknowledgment shall be governed by and construed in accordance with the laws of the State of Alaska, without regard to its conflict of laws principles.

Any dispute, claim, or proceeding arising out of or relating to this Buyer Disclosure and Acknowledgment, the Private Seller Marketplace, any listing, or any resulting transaction shall be brought exclusively in the state or federal courts located in Alaska, and I consent to the personal jurisdiction and venue of those courts.

12. Modifications to Terms

ABB reserves the right to modify these terms at any time.

Any modifications will apply prospectively only.

The version of this Buyer Disclosure and Acknowledgment accepted by me will govern the specific inquiry or transaction for which the acknowledgment was provided, unless otherwise required by law.

13. Website Terms and Privacy Policy

Use of the Alaska Boat Brokers website and Private Seller Marketplace is also subject to ABB’s Website Terms of Use and Privacy Policy.

If there is a conflict between this Buyer Disclosure and Acknowledgment and the Website Terms of Use regarding a Private Seller Marketplace transaction, this Buyer Disclosure and Acknowledgment will control to the extent of that conflict, unless otherwise stated in writing by ABB.

14. Acceptance

By proceeding to contact a seller, request information, schedule a showing or sea trial, submit an inquiry, or otherwise use the Private Seller Marketplace in a manner requiring acknowledgment, I acknowledge that I have read, understand, and agree to this Buyer Disclosure and Acknowledgment.
